Prospio provides business software and related services. You may use the site and the platform only for lawful internal business purposes and in line with these terms and any written commercial agreement you have with us.

You are responsible for your team, your account credentials, administrator permissions, and the activity carried out under your account. You must ensure that only authorized users access the service.

You must not misuse the service, interfere with its operation, attempt unauthorized access, reverse engineer the platform except where the law cannot restrict that right, resell access without permission, or use Prospio in connection with spam, unlawful surveillance, or prohibited data collection activity.

You must comply with applicable laws and regulations when using Prospio, including data protection, direct marketing, sanctions, export control, and intellectual property laws.

You retain ownership of the data, materials, and business information you submit to Prospio. You give us permission to host, process, and use that information as needed to operate, secure, and improve the service for you.

You confirm that you have the rights, permissions, notices, and lawful basis needed to upload or use any data you provide, including personal data, contact data, and third-party business information. You are responsible for the accuracy, legality, and origin of that data.

Both parties should treat non-public information shared through the service as confidential unless it is already public or independently obtained.

You must use reasonable measures to protect confidential information obtained through Prospio and not disclose it except as permitted by law, by written agreement, or as necessary for authorized internal use.

Prospio and its related software, content, design, features, trademarks, and documentation remain the property of Prospio or its licensors. Except for the limited right to use the service under these terms, no ownership rights are transferred to you.

If you provide feedback, suggestions, or ideas about Prospio, we may use them without restriction or obligation, provided that doing so does not identify you or disclose your confidential information unnecessarily.

Prospio may integrate with or depend on third-party services, data providers, analytics tools, software components, and infrastructure providers. We are not responsible for third-party products or services that are outside our control.

Any outputs, recommendations, classifications, or insights generated through Prospio are provided to support business decision-making. You remain responsible for reviewing outputs and deciding how to use them.

Prospio may be offered by invitation, in pilot, or on a limited-access basis. We may update, modify, suspend, or discontinue features at any time, including to protect security, comply with law, or improve the product.

We aim to keep the service available and reliable, but we do not guarantee uninterrupted access or that every result, dataset, or signal will always be complete, accurate, current, or error-free.

If you are on a paid plan, pilot, or custom commercial agreement, pricing, billing, renewal, and payment terms are governed by that agreement. To the extent there is any conflict between these website terms and a signed commercial agreement, the signed commercial agreement will control for the paid service.

We may suspend or terminate access if you breach these terms, fail to pay amounts due under an applicable commercial agreement, or if continued access creates legal, security, operational, or reputational risk.

On termination or expiration, your right to access the service ends, but provisions that by their nature should survive, including confidentiality, intellectual property, payment obligations, and liability limits, will continue to apply.

To the maximum extent permitted by law, Prospio is provided on an as-is and as-available basis. We disclaim implied warranties including merchantability, fitness for a particular purpose, and non-infringement, except to the extent such disclaimers are not permitted by law.

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages arising from or related to your use of Prospio.
